Trump Media and Technology Group (TMTG), the parent company of former President Donald Trump’s social media platform Truth Social, plans a significant foray into the cryptocurrency market. The company intends to raise $3 billion through a combination of equity and convertible bonds to acquire Bitcoin and other cryptocurrencies, according to a Financial Times report. This capital injection will be split into $2 billion in equity and $1 billion in convertible bonds, offering investors flexibility in their investment strategy. The equity offering is slated to be priced at the May 23rd closing price of $25.72 per share, reflecting a 4.6% daily increase. TMTG’s market capitalization stood at $5.7 billion on that date.
This strategic move aligns TMTG with other companies like MicroStrategy, which have successfully incorporated Bitcoin into their treasury strategies. These companies cite inflation hedging and avoidance of becoming “zombie companies” as key motivations for their crypto investments.
However, TMTG’s entry into the cryptocurrency space is likely to attract increased scrutiny. Democratic lawmakers have already expressed concerns regarding the Trump family’s expanding crypto-related businesses, citing potential conflicts of interest. Protests have even targeted a recent memecoin dinner hosted by the former president. Trump’s existing crypto ventures include NFT collections, the TRUMP and MELANIA memecoins, the World Liberty Financial decentralized finance platform, and a dollar-pegged stablecoin. Critics argue that Trump’s influence in government could create an unfair advantage in the crypto industry, given his significant financial stake.
Adding to the complexity, Trump recently transferred a 53% stake in TMTG to a revocable trust controlled by his son, Donald Trump Jr. This further complicates the ethical considerations surrounding his crypto investments. The potential for insider trading and undue influence remains a significant concern, prompting increased calls for greater transparency and regulatory oversight. The $3 billion capital raise, while ambitious, highlights TMTG’s commitment to the cryptocurrency market, but also underscores the potential for considerable political and regulatory challenges ahead.
